Legal Notice
This document constitutes a legally binding agreement between The KPS Group LLC ("Service Provider"), a Texas limited liability company with its principal place of business at 5900 Balcones Drive, Suite 100, Austin, Texas 78731, and the client ("Client"). This agreement is governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Travis County, Texas.
Non-Disclosure Agreement (NDA)
Pursuant to Texas Business and Commerce Code Chapter 15 and common law principles of trade secret protection, The KPS Group LLC operates under a mutual non-disclosure agreement by default, ensuring complete confidentiality of proprietary information exchanged during the course of business engagement.
Definition of Confidential Information:
"Confidential Information" shall mean any information disclosed by either party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, which is designated as "Confidential," "Proprietary," or some similar designation, or which should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.
- • Trade secrets as defined under Texas Uniform Trade Secrets Act
- • Proprietary business strategies and competitive intelligence
- • Intellectual property, including but not limited to designs, concepts, and creative works
- • Client data, market research, and proprietary analytics
- • Financial information, pricing strategies, and operational details
- • Technical specifications, methodologies, and proprietary processes
Obligations of Receiving Party:
- • Maintain confidentiality using the same degree of care as used to protect its own confidential information
- • Restrict access to confidential information to employees, contractors, and agents who need to know
- • Not disclose confidential information to any third party without prior written consent
- • Return or destroy all confidential information upon termination of the business relationship
Master Service Agreement (MSA)
A comprehensive Master Service Agreement may be provided upon request, establishing the framework for all service engagements between The KPS Group LLC and the client, governed by Texas law and incorporating industry best practices for professional service delivery.
MSA Components:
- • Detailed service terms and conditions pursuant to Texas Business and Commerce Code
- • Payment terms, schedules, and late payment provisions under Texas law
- • Intellectual property rights and ownership transfer provisions
- • Liability limitations and indemnification clauses compliant with Texas law
- • Dispute resolution procedures including mandatory mediation and arbitration
- • Force majeure provisions and termination clauses
Legal Remedies and Enforcement
In the event of a breach of confidentiality or service agreement terms, The KPS Group LLC reserves the right to pursue all available legal remedies under Texas law, including but not limited to:
- • Injunctive relief to prevent further disclosure of confidential information
- • Monetary damages including actual damages and reasonable attorneys' fees
- • Specific performance of contractual obligations
- • Punitive damages where authorized by Texas law
